These Terms and Conditions ("Terms") govern your use of dennismagige.com (the "Site") and any web development, design, maintenance, or related services ("Services") provided by Dennis Magige ("we," "us," "our"). By using the Site, submitting an inquiry, or engaging Services, you agree to these Terms.
1. Services Offered
We offer website design and development packages (Basic, Platinum, Gold), ongoing WordPress maintenance (WordPress Care), site migration and rescue work, analytics and SEO setup, and data/API integration work, as described on our Services page. Exact scope, deliverables, and timelines for any engagement are set out in a separate written project agreement or proposal specific to your project.
2. Pricing and Payment
Published package prices are shown on the Services page and are accurate at the time of publication but may change without notice for future engagements; the price confirmed in your project agreement or invoice governs your specific project.
- A 50% deposit is required to book your project start date.
- The remaining 50% balance is due at launch, before the completed site is published live.
- Projects with a total value over $6,000 are billed across three milestone payments instead of a single deposit/balance split, as agreed in your project proposal.
- Invoices are due within 14 days of issue.
- WordPress Care is billed monthly in advance and may be cancelled at any time, effective at the end of the current billing period.
Payments are processed by an authorized third-party payment processor acting as our merchant of record, which may accept payment via credit card, debit card, PayPal, and other methods it makes available. The processor's name will appear on your card or bank statement and on your receipt. That processor's own terms of use apply to the payment transaction itself, in addition to these Terms.
3. Cancellations
If a project is cancelled after work has begun, completed work to date is billable, and any deposit already paid is applied toward that billable work. Deposits reserve dedicated project time on our schedule and are not refundable once a start date has passed, except as described in our Refund Policy.
4. Ownership and Intellectual Property
Full ownership of the completed website and associated deliverables transfers to you upon payment of the final invoice in full. Until final payment is received, all work product remains our property. We retain the right to reference completed public-facing work in our own portfolio unless otherwise agreed in writing.
5. Client Responsibilities
You agree to provide timely feedback, content, and approvals needed to keep a project on schedule. Delays in providing required materials may extend project timelines accordingly.
6. Limitation of Liability
Services are provided on an "as is" basis. To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from use of the Site or Services. Our total liability for any claim relating to a project is limited to the amount paid for that specific engagement.
7. Third-Party Services
The Site and our Services may rely on third-party tools and platforms, including Google Analytics for site measurement and one or more third-party payment processors for handling transactions. Your use of those tools is also subject to their respective terms and privacy policies.
8. Governing Law
These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law principles.
9. Changes to These Terms
We may update these Terms from time to time. Changes apply prospectively and do not alter the terms of a project agreement already in effect.
